The defence of some other good reason
This defence can only be made out in the narrowest of circumstances such as the illness of a director or the director being away from work for a short time.
This defence used to be used to protect spouses however the Supreme Court of New South Wales has said "there is a core, ireducible requirement of involvement in the management of a company by a director"
In other words, if you are a director, you have responsibilities that must be fulfilled.
